In case of conflict between the English and Chinese versions of these Terms, the English version shall prevail.

These Terms of Service ("Terms") govern your access to and use of Kuee, a clinic management software platform operated by ACT TECT LLC ("we," "us," or "our"), a Texas limited liability company. By creating an account or using Kuee, you ("Customer") agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using Kuee, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business. If you do not agree to these Terms, do not use Kuee.
2. Description of Services
Kuee is a business management software platform designed for clinic, spa, and wellness center operators. Kuee provides tools for appointment scheduling, customer management, staff coordination, billing, and business analytics.
Kuee is not a healthcare provider, medical device, or covered entity under any healthcare regulation. We do not provide medical advice, diagnoses, or treatment recommendations. Any clinical documentation features (such as AI-assisted SOAP report generation) are productivity tools to assist healthcare professionals — the licensed professional using Kuee remains solely responsible for all clinical decisions, documentation accuracy, and compliance with applicable healthcare regulations.
3. Account Registration and Responsibilities
You must provide accurate, current, and complete registration information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account, whether or not authorized by you
- Ensuring that all users you add to your account comply with these Terms
- Notifying us immediately of any unauthorized access at admin@kuee.io
We reserve the right to suspend accounts with inaccurate or fraudulent information.
4. Subscription and Payment
Kuee is offered on a subscription basis. By subscribing:
- You authorize us to charge your payment method through our payment processor (Stripe, Inc.) on a recurring basis at the start of each billing period
- Subscription fees are charged in advance (monthly or annually as selected at checkout)
- All fees are non-refundable except where required by applicable law
- We may change subscription pricing with at least 30 days' advance notice via email or in-app notification
Payments are processed by Stripe, Inc. Your payment information is governed by Stripe's terms and privacy policy. ACT TECT LLC does not store your full payment card information.
5. Acceptable Use
You agree not to use Kuee to:
- Violate any applicable local, state, national, or international law or regulation
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of Kuee
- Sell, resell, sublicense, or otherwise transfer your access to Kuee to any third party
- Upload, transmit, or distribute malicious code, viruses, or harmful content
- Attempt to gain unauthorized access to any system, network, or data
- Scrape, crawl, or otherwise extract data from Kuee in a manner that places unreasonable load on our infrastructure
- Use Kuee to store or transmit content that is unlawful, harassing, defamatory, or fraudulent
6. Customer Data
You retain full ownership of all data you upload or input into Kuee ("Customer Data"). By using Kuee, you grant ACT TECT LLC a limited, non-exclusive license to process and store Customer Data solely to provide the services described in these Terms.
You are solely responsible for:
- The accuracy, legality, and appropriateness of Customer Data
- Obtaining all required consents from individuals whose personal information you enter into Kuee
- Compliance with all applicable laws and regulations governing your collection and use of personal data, including any healthcare, privacy, or data protection laws applicable to your business
7. Artificial Intelligence Features
Kuee includes AI-powered features that use third-party AI service providers. By using these features, you acknowledge and agree that:
- Health-related notes and clinical content are automatically anonymized before being transmitted to AI providers for processing
- AI-generated content (including SOAP reports and other suggestions) constitutes a productivity aid only — you must independently review, verify, and accept responsibility for all AI-generated content before relying on it
- We make no warranty as to the accuracy, completeness, or clinical appropriateness of AI-generated output
- ACT TECT LLC is not liable for any clinical decisions, errors, or outcomes resulting from reliance on AI-generated content
8. Third-Party Services
Kuee integrates with third-party services including but not limited to payment processors, cloud infrastructure providers, notification services, and AI providers. ACT TECT LLC is not responsible for the performance, availability, data practices, or security of any third-party service. Your use of integrated third-party services is subject to their respective terms and privacy policies.
9. Intellectual Property
Kuee, including all software, designs, trademarks, and content, is and remains the exclusive property of ACT TECT LLC and its licensors. Nothing in these Terms grants you any ownership interest in Kuee or its intellectual property. You may not use our name, logo, or trademarks without our prior written consent.
10. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KUEE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. ACT TECT LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that Kuee will be uninterrupted, error-free, or free from harmful components. We do not guarantee that any data stored in Kuee will not be lost, corrupted, or inaccessible. You are responsible for maintaining your own backups of critical business and patient data.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ACT TECT LLC'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF KUEE SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU TO ACT TECT LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL ACT TECT LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless ACT TECT LLC and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of Kuee; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any applicable law; or (e) any claim by a third party related to your business operations.
13. Termination
Either party may terminate this agreement at any time for any reason. We may suspend or immediately terminate your access to Kuee if we believe, in our sole discretion, that you have violated these Terms or that your continued use poses a risk to us, other users, or third parties. Upon termination for any reason, your right to access Kuee ceases immediately. We have no obligation to retain your Customer Data after termination, though we will make reasonable efforts to allow data export prior to account deletion per our Privacy Policy.
14. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or your use of Kuee shall be subject to the exclusive jurisdiction of the state and federal courts located in Travis County, Texas. You hereby consent to personal jurisdiction and venue in such courts.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide at least 30 days' advance notice of material changes via email or prominent in-app notification. Your continued use of Kuee after the effective date of any modification constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using Kuee before the effective date.
16. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and ACT TECT LLC regarding Kuee.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
- No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
